Terms of business
The terms that apply when you work with Cenvar.
Last updated 28 October 2026
About these terms
These terms apply to all services provided by Cenvar Ltd, registered in England and Wales (company number 16827075), registered office at Office 2235, 60 Tottenham Court Road, Fitzrovia, London, W1T 2EW (“we”, “us”), to you, the client. Together with your proposal, they form our agreement. If anything in your proposal conflicts with these terms, the proposal takes priority.
Proposals and quotes
After your free consultation we’ll send a written proposal setting out the work, timescale and fixed price. Proposals are valid for 30 days. Our agreement starts when you accept the proposal in writing (email is fine) and pay any deposit due.
Prices and payment
- Prices are fixed as set out in your proposal. Any extra work you ask for will be quoted and agreed with you before we do it.
- Unless your proposal says otherwise, projects require a 50% deposit before work starts, with the balance due on completion and before launch or handover.
- Monthly services, such as care plans and support, are billed monthly in advance.
- Invoices are payable within 14 days. We may pause work or services on overdue accounts, and for business clients we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
- Prices exclude VAT, which will be added if and when we are VAT registered.
Your responsibilities
To keep your project on track, you agree to provide the content, information, feedback and access we reasonably need, on time. Delays on your side may move the timescale. You confirm that any content you give us (such as text, images and logos) is yours to use, or that you have permission to use it.
Changes to the work
Your proposal includes the rounds of revisions stated. Changes outside the agreed scope will be quoted separately and only carried out once you’ve approved them.
Third-party services and licences
Many solutions rely on third-party platforms, such as hosting, domains, Shopify, Microsoft 365, Google Workspace and AI or automation tools. These are provided under the supplier’s own terms. Where possible they’re set up in your name, so you own the accounts. We aren’t responsible for third-party outages, price changes or changes to their features, but we’ll help you manage them.
Ownership
Once you’ve paid in full, you own the final deliverables we create specifically for you, such as your website design, content and custom software. We keep ownership of our own pre-existing tools, code libraries and know-how, and give you a licence to use them as part of your deliverables. Third-party themes, plugins and software remain subject to their own licences. We may show completed work in our portfolio unless you ask us not to.
Ongoing services
Care plans, support and other monthly services continue until either of us cancels with 30 days’ written notice, unless your proposal sets a minimum term. Response times and what’s included are set out in your plan.
Our commitment and warranty
We’ll provide our services with reasonable care and skill. If something we’ve built doesn’t work as agreed, tell us within 30 days of completion and we’ll fix it at no extra cost. This doesn’t cover problems caused by changes made by others, third-party services, or misuse.
Limitation of liability
Our total liability to you under any agreement is limited to the fees you’ve paid us for the relevant services in the 12 months before the claim. We are not liable for indirect or consequential loss, or for loss of profits, revenue, data or business opportunity. You’re responsible for keeping your own backups unless backups are included in your plan. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Confidentiality and data
We keep your business information confidential and only use it to deliver our services. Where we handle personal data on your behalf, we act as your data processor and will only process it on your instructions, keep it secure, and support you in meeting your data protection obligations. A data processing agreement is available on request.
Cancellation
You can cancel a project at any time by telling us in writing. You’ll pay for work done up to that point, and any costs we’ve committed to on your behalf. Deposits cover initial planning and scheduling and are non-refundable once work has started.
If you’re a consumer (buying for purposes outside your trade or business), you may have the right to cancel within 14 days of agreeing to our services under the Consumer Contracts Regulations. If you ask us to start within that period, you’ll pay for work done before you cancel.
Ending the agreement
Either of us may end the agreement immediately if the other seriously breaches these terms and doesn’t put it right within 14 days of being asked, or becomes insolvent. On ending, you’ll pay for work done and we’ll hand over completed, paid-for deliverables and account access.
Events outside our control
Neither of us is responsible for delays or failures caused by events outside our reasonable control, such as major outages of third-party services, extreme weather or illness. We’ll keep you informed and work to minimise any impact.
General
These terms and your proposal are the whole agreement between us. We may update these terms for future work. If any part is found unenforceable, the rest still applies. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
